"CityBucks" provides an interactive online service operated by City Bucks LLC. (herein referred to as “CityBucks”) on the Internet (the "Web"), consisting of a group buying website, whereby end users have the ability to buy coupons offered by various merchants. The website contains information about the deals and transaction capabilities provided by CityBucks, affiliates of CityBucks and other third parties.

2. General.

This Agreement sets forth the terms and conditions that apply to the use of this Site by the End User. By using this Site (other than to read this Agreement for the first time), End User agrees to comply with all of the terms and conditions hereof. The right to use this Site is personal to End-User and is not transferable to any other person or entity. End User shall be responsible for protecting the confidentiality of End User's password(s), if any. CityBucks shall have the right at any time to change or discontinue any aspect or feature of CityBucks.

3. End User Conduct.

This Site and all sites owned or affiliated with this site are private property. All users of this Site and/or its affiliated sites must comply with these Terms of Use. End users may not in any way act in an unlawful manner while on the site. End user shall not act in any abusive, threatening, defamatory, obscene or otherwise objectionable manner while on the site. CityBucks reserves the right to refuse service to anyone for any reason and may discontinue an end users account at its sole discretion at anytime. CityBucks reserves the right to remove discussion board comments that it considers abusive, threatening, defamatory, obscene or otherwise objectionable in nature.

4. Copyright and Trademarks.

Everything located on or in this Site, including any related sites that are linked to this site and owned by CityBucks, is the exclusive property of CityBucks, LLC. or used with express permission of the copyright and/or trademark owner. ANY COPYING, DISTRIBUTING, TRANSMITTING, POSTING, LINKING, DEEP LINKING, OR OTHERWISE MODIFYING OF THIS SITE WITHOUT THE EXPRESS WRITTEN PERMISSION OF CITYBUCKS LLC. IS STRICTLY PROHIBITED. Any violation of this policy may result in a copyright, trademark or other intellectual property right infringement that may subject End User to civil and / or criminal penalties.

5. Disclaimer of Warranty; Limitation of Liability.

END USER EXPRESSLY AGREES THAT USE OF THIS SITE AND IT’S RELATED SITES IS AT END USER'S SOLE RISK. NEITHER CITYBUCKS, ITS AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO (I) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THIS SITE, OR (II) THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE OR MERCHANDISE PROVIDED THROUGH THIS SITE OR THE MICROSITES.

CITYBUCKS IS NOT RESPONSIBLE FOR ANY CONTENT THAT A USER, OR ADVERTSIOR, OR AN UNAUTHORIZED USER MAY POST ON THIS SITE OR ANY OF THE AFFILAITED SITES. ANY CONTENT THAT IS POSTED OR UPLOADED THAT IS OR MAY BE DEEMED UNSUITABLE CAN AND MAY BE TAKEN DOWN BY CITYBUCKS. MOREOVER, CITYBUCKS RESERVES THE RIGHT TO EDIT, CHANGE, ALTER, DELETE AND PROHIBIT ANY AND ALL CONTENT THAT IT, CITYBUCKS, DEEMS UNSUITABLE.

6. Monitoring.

CityBucks shall have the right, but not the obligation, to monitor the discussion or chat rooms and forums that may hereinafter be included as part of the Site. CityBucks shall have the right to remove any material that CityBucks, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

7. License Grant.

By posting communications on or through this Site, End User shall be deemed to have granted to CityBucks a royalty-free, perpetual, irrevocable, non-exclusive license to use the communication alone or as part of other works in any form, and in any manner that CityBucks deems necessary.

8. Indemnification.

End User agrees to defend, indemnify and hold harmless CityBucks, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of this Site and/or any of the CityBucks affiliated sites by End User.

9. Termination.

CityBucks may terminate this Agreement at any time and for any reason, that it in its sole discretion, deems necessary, and may do so without notice.

10. Trademarks.

CityBucks is a trademark of City Bucks LLC. All rights in respect of this trademark are hereby expressly reserved. Unless otherwise indicated, all other trademarks appearing on CityBucks are the property of their respective owners.

11. Third Party Content.

CityBucks, similar to an Internet Service Provider, is a distributor (and not a publisher) of content supplied by third parties and End Users. Any opinions, advice, statements or other information made by third parties is not responsibility, nor the opinion or CityBucks. CityBucks provides information and links which provide information about deals and discount coupons and CityBucks is not responsible for this information and has no responsibility to verify the accuracy or completeness of any of this information and shall not be held liable to any end user for any damages that result from the end user relying on this information obtained through CityBucks. The end user is responsible for independently researching any merchant and any deal before making a purchasing decision.

12. Entire Agreement

This Agreement and any operating rules for CityBucks established by CityBucks constitute the entire agreement of the parties with respect to the use of CityBucks. The failure of either party to exercise any of its rights under this Agreement shall not be deemed a waiver or forfeiture of such rights. CityBucks's headquarters are in St. Petersburg, Florida. The laws of the state of Florida shall govern any legal issue.

If you are a resident of the state of Florida and purchase a coupon from a healthcare provider, please note that the patient and any other person responsible for payment has a right to refuse to pay, cancel payment or be reimbursed for payment for any service, examination or treatment that is performed as a result of and within 72 hours of responding to the advertisement for the free, discounted fee or reduced fee service, examination or treatment.

TERMS OF SALE

1. Promotional Discount Coupons

The CityBucks coupons you purchase are promotional discount coupons and are redeemable for goods or services by the seller of such goods and services, hereinafter defined as "Merchant." The Merchant, not CityBucks, is the seller of the goods and services. CityBucks sells a coupon that can be redeemed in connection with your purchase of the goods or services from Merchant.

2. CityBucks Makes No Warranty

CityBucks takes no responsibility for the services or products for which CityBucks coupons (hereinafter “coupons”) may be redeemed. CityBucks makes no warranty to the CityBucks End Users of any sort. Some services such as sky diving or even amusement parks, may involve certain risky activities and the end user is responsible for evaluating the risks involved before making the purchase. CityBucks takes no responsibility for the services or products offered by the merchants or any related risks.

As the issuer of the Coupon, the merchant shall be fully responsible for any and all injuries, illnesses, damages, claims, liabilities and costs suffered by or in respect of a customer, caused in whole or in part by the restaurant or the merchant.

3. Deal Minimum Purchase Requirements

Each deal will have a minimum number of purchasers required before the deal can become available. Once this minimum is met the deal is “ON”. If the minimum is not met, then the deal is cancelled and you will not be charged.

4. Each Deal Has Specific Terms and Conditions

Each deal will have specific terms, expiration dates and conditions as defined by the merchant. End users should review those terms before purchasing the CityBucks coupon. Coupons may be used at anytime up until the time they expire. Even though your name will be on your coupon, unless the individual deal details states otherwise, you are free to give your coupon to anyone (as a gift for example).

Unless otherwise stated in the individual deal terms, only one coupon can be used at a time, unless otherwise specified in the offer.

Coupons may not be combined with any other merchant promotions or discounts unless otherwise specified in the offer.

5. Redeemed For Less than Face Value

If you redeem your coupon for less than the face value you are not entitled to any credit or refund.

6. Compliance with State Law

Compliance with any state laws is the responsibility of the merchant. Void to the extent prohibited by law.

7. All Sales are Final - No Refunds

All sales are final. Once you purchase your CityBucks coupon, there are no refunds allowed under any circumstances.

8. If Merchant Closes or Goes Out of Business

If you are unable to use your coupon before its expiration date because a Merchant closed or otherwise went out of business, CityBucks will credit your CityBucks account for the amount you paid. This credit may be used towards the purchase of future CityBucks coupons. No refunds or credits to your credit card will be issued in this case.

9. Refer a Friend

If you refer a friend under the CityBucks referral program, your account will be credited $10 when your friend makes their first purchase. Your $10 credit may only be used to purchase a CityBucks coupon.

10. No Duplication Allowed

You may not make and attempt to use, in any manner, duplicate copies of the Coupons purchased.

CityBucks.com provides an Internet based group buying website. We do not send unsolicited email (Spam). We do not sell or otherwise make your email address or other information available to third parties.
